E/N Alpha Program

E/N Alpha is a flat-fee subscription program providing lean, world class legal counsel to a select group of high-potential pre-seed and seed-stage emerging technology startups.

At $500/mo (billed automatically) for up to 2 years, or (if earlier) until $1 million in outside capital has been raised, each E/N Alpha startup receives legal support for the following:

  • Full formation package for Delaware C-Corp (state fees separate)
    – Incorporation and Bylaws
    – Board formation and organizational approvals
    – IP assignments and confidentiality agreements
    – Founder stock with vesting schedules
    – Equity plan
    – Capitalization Model
  • Employee Offer Letters and IP/Confidentiality Agreements
  • Consulting / Independent Contractor Agreements
  • Advisor / Mentor Agreements
  • Non-Disclosure Agreements (NDAs)
  • Employee and Contractor Terminations
  • Equity plan option grants and stock issuances
  • Paperless electronic execution and storage of legal documents
  • Capitalization table management and modeling
  • Onboarding to pre-approved accelerators
  • Convertible Note or SAFE seed financings
  • Partner-level oversight and strategic advisory for the above.

To better understand E/N Alpha, we should also cover what it’s not.

  • It is not a SaaS tool. Startups in E/N Alpha are talking to real, specialized lawyers and legal professionals with top-tier credentials. The Alpha program is tech-enabled, including cutting edge legal technology, but by no means tech only.

  • It does not limit startups to engaging only paralegals and inexperienced junior attorneys. Every E/N Alpha startup receives direct access to dedicated Partner and Senior Attorney counsel. We have other professionals and technology to get the basics done in the background, but we know that CEOs don’t hire serious law firms to discuss their most strategic matters with low-level professionals, or software.

  • It is not a fully comprehensive “everything under the sun for one price” law firm offering. E/N represents a diverse set of elite startups with varying business models, growth trajectories, investor bases, and company cultures. We refuse to box our clients into an inflexible cookie-cutter pricing structure, because we aren’t practicing assembly line startup law.  E/N Alpha’s flat fee applies only to the essentials that all pre-seed and seed stage startups utilize. For those startups that don’t need anything outside of that scope, the additional cost is zero. For those that do, you pay for what you use, and we utilize transparent billing and flexible payment approaches to help you cover those costs. Efficiency, balanced with strategic flexibility.

  • It is not the only path for becoming an E/N client. We expect many clients will prefer a more conventional and flexible “pay for what you use” approach to early-stage law, and we’re happy to work that way; as we have for hundreds of startups before. E/N Alpha is just one option for how to engage our firm.
