Ken has over 35 years of experience advising companies on public and private equity and debt offerings, reorganizations and mergers and acquisitions.  He also regularly serves as outside counsel in advising clients with respect to corporate governance matters and SEC reporting obligations.  Ken’s financial transaction practice includes the preparation of private placement memoranda, offering statements and registration statements complying with numerous federal securities regulations, including Regulation A, Regulation Crowdfunding and Regulation D, as well as other provisions of the Securities Act of 1933, as amended. He also has substantial experience in advising clients regarding a wide variety of transactional matters, including acquisitions and dispositions of assets and equity securities, reorganizations and recapitalizations, organizing joint ventures and other partnerships, fund formations and creating and administering REITs.  Ken has represented clients in a variety of industries, including commercial real estate, retail and financial services.  Ken assists companies to achieve their business goals by providing experienced full service corporate counseling throughout the growth cycle.

Prior to joining Egan Nelson LLP, Ken was a partner at Winston & Strawn LLP and Locke Lord LLP.
